These Terms govern your use of PayBridge Technologies' website, platforms, and services. By engaging us, you agree to these terms. Please read them carefully.
Important: These Terms form a binding legal agreement between you and PayBridge Technologies Pvt. Ltd. If you do not agree, please do not use our services.
By accessing our website, engaging our services, or entering into a project agreement with PayBridge Technologies Pvt. Ltd. ("Company", "we", "us"), you agree to be bound by these Terms and Conditions, our Privacy Policy, and any project-specific agreements.
These Terms apply to all visitors, clients, partners, and others who access or use our services. If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to do so.
PayBridge Technologies provides information technology services including but not limited to:
Specific deliverables, timelines, payment schedules, and acceptance criteria for each engagement are defined in a separate Statement of Work (SOW) or Project Agreement, which forms part of the overall agreement alongside these Terms.
We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice. For active client engagements, changes will be handled through a formal change request process outlined in the project agreement.
To enable us to deliver our services effectively, clients agree to:
Delays or failures by the client to fulfil these obligations may affect delivery timelines and associated costs, for which the Company shall not be held liable.
Upon full payment of all amounts due, the Company assigns to the client all intellectual property rights in the bespoke deliverables created specifically for that engagement, as specified in the project agreement.
The Company retains all rights to its pre-existing intellectual property, proprietary frameworks, tools, libraries, methodologies, and know-how. Where such IP is incorporated into client deliverables, a non-exclusive licence is granted to the client for use within the delivered solution.
Deliverables may incorporate open-source or third-party licensed components. The Company will disclose such components and the applicable licences. Clients are responsible for compliance with those licences.
Unless otherwise agreed in writing, the Company reserves the right to reference the client engagement and general project nature in its portfolio, case studies, and marketing materials, without disclosing confidential information.
Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement. Confidential information shall not be used for any purpose other than performing obligations under the agreement.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was lawfully known to the receiving party before disclosure; (c) is received from a third party without restriction; or (d) is required to be disclosed by law or court order.
These obligations survive termination of the agreement for a period of 3 years.
Invoices are issued as per the payment schedule in the project agreement. Standard payment terms are net 15 days from invoice date unless otherwise agreed.
Overdue invoices attract interest at 18% per annum (1.5% per month) from the due date. We reserve the right to suspend services for accounts overdue by more than 30 days.
All fees are exclusive of applicable taxes. GST and other statutory levies will be added as applicable under Indian law. Clients are responsible for any applicable withholding taxes.
All invoices are issued in Indian Rupees (INR) unless otherwise specified in the project agreement.
We warrant that our services will be performed with reasonable skill and care, in accordance with the specifications agreed in the project agreement, and that deliverables will be free from material defects for a period of 90 days post-delivery (warranty period).
We do not warrant that services will be uninterrupted or error-free, that defects will be corrected immediately, or that deliverables will meet requirements not specified in the project agreement.
To the maximum extent permitted by law, the Company's total liability arising from or related to any engagement shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages.
Either party may terminate an engagement with 30 days' written notice. The client shall pay for all work completed up to the termination date, plus any non-cancellable costs incurred.
Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days of notice, or becomes insolvent or enters liquidation.
Upon termination, each party shall return or destroy confidential information of the other. The Company will deliver all completed work-in-progress upon receipt of outstanding payments.
The parties will attempt to resolve disputes informally through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Hyderabad, Telangana, conducted in English.
These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration clause, courts in Hyderabad, Telangana shall have exclusive jurisdiction.

We are committed to delivering quality work that meets agreed specifications. This policy outlines our approach to refunds, cancellations, and dispute resolution for payment-related matters.
Our Commitment: We stand behind the quality of our work. If we fail to deliver what was agreed, we will make it right — through rectification, credit, or refund as appropriate to the situation.
PayBridge Technologies delivers bespoke technology services — custom software, platforms, mobile applications, and integrations. Because our work is tailored to each client's specific requirements, our refund policy differs from standard product purchases.
Our approach to refunds is based on three principles:
All projects require a non-refundable deposit of 30% of the total project value before work commences. This deposit covers:
If a project is cancelled by the client before work has commenced (i.e., within 48 hours of deposit payment and before any kick-off meeting), 50% of the deposit may be refunded at the Company's discretion, subject to no costs having been incurred.
Payments are typically structured across project milestones as defined in the project agreement. The following framework applies:

Client sign-off on a milestone — whether written or implied through continued project engagement — constitutes acceptance of that milestone's deliverables.
Refunds (full or partial) may be issued in the following circumstances:
If PayBridge Technologies is unable to deliver agreed services due to reasons within our control (e.g., capacity issues, force majeure affecting only our side), we will refund payments made for work not yet delivered.
If deliverables materially fail to meet the agreed specifications in the SOW, and we are unable to rectify the issue within a reasonable remediation period (typically 30 days), a partial or full refund of the affected milestone payment may be issued.
Accidental duplicate payments will be refunded in full within 5 business days of confirmation.
Unused prepaid retainer or support hours are eligible for refund on a pro-rata basis upon written request, subject to a minimum utilisation of the first month's hours.
The following are not eligible for refund under any circumstances:
If the client cancels an active project:
Cancellation of ongoing retainer or maintenance agreements requires 30 days' written notice. Payments due during the notice period remain payable.
In the rare event that we must cancel a project due to circumstances beyond our control, we will refund all payments for work not yet commenced or delivered.

We are committed to resolving disputes fairly and promptly. Most issues are resolved at step 1 or 2.
Approved refunds are processed as follows:
Refunds are issued in Indian Rupees (INR) to the original payment source. We do not issue refunds to a different account or third party without legal documentation.
GST Note: Refunds will be net of GST where the tax has already been remitted to the government. A revised invoice / credit note will be issued for tax purposes.
